Memorandum amendments and share transfers
Any change to shareholding, capital, managers, activities or company name is registered through a notarized amendment to the memorandum of association. The wording must match what the licensing authority expects, and every shareholder or their attorney must sign.
If a shareholder is abroad, we prepare a power of attorney so the transaction is completed without them travelling.
Meeting minutes and resolutions
Banks, registrars and government departments frequently ask for notarized minutes or a board resolution before opening an account, appointing a manager, approving a loan or signing a lease.
