Partnership and investment agreements
Define who contributes what, who makes decisions and how the parties share returns and risks. A private partnership agreement is not automatically a company formation document or a substitute for a trade licence.
- Business partnership and cooperation agreements
- Joint venture (JV) and investment agreements
- Shareholders’ agreements and profit-sharing terms
- Real estate investment and partnership arrangements
- Memoranda of understanding (MOU)
Commercial agreements and settlements
We prepare wording around the transaction, parties and intended use, including payment obligations, evidence of performance and the consequences of breach.
- Service, consultancy and commercial cooperation agreements
- Commission and brokerage arrangements
- Settlement, payment-plan and release agreements
- Confidentiality and non-disclosure agreements (NDA)
- Amendments, termination terms and negotiated exits
Clauses that deserve careful review
Send the main commercial terms or your draft. We review ambiguity and explain the effect of proposed clauses before you commit.
- Contributions, ownership and responsibilities
- Management powers, signing authority and reserved decisions
- Profit distribution, payment dates and accounting access
- Partner entry, exit, share transfer and deadlock
- Confidentiality, term, termination and dispute resolution
MOA, LLC and Free Zone: choose the correct document
An LLC memorandum of association (MOA) or amendment follows the competent licensing authority’s formalities. A separate shareholders’ or partnership agreement may supplement the arrangement but does not replace required registration or approvals.
Free zones can prescribe their own MOA, articles, resolutions and authentication procedures. Not every private agreement must be notarized, and notarization alone does not register a company or transfer property. We distinguish drafting, notarization and registration for your specific emirate and authority.
Signing with a passport or from outside the UAE
Visitors and overseas partners without an Emirates ID can ask about valid-passport identity verification for eligible transactions. Remote signing depends on the notary, authority and document; extra verification or a representative may be required.
Where signing abroad is needed, the issuing country, receiving country and document type determine the legalization or embassy and MOFA steps. We confirm the route before execution; an apostille alone does not replace the applicable UAE attestation requirements.
Fees and next steps
Start with the type of agreement, the parties’ locations and whether you have a draft. We confirm the drafting or review scope, any eligible notarization or attestation, expected timing and a full fee breakdown before beginning. Acceptance and legal outcomes are not guaranteed.
